Governing Law:  This Agreement is entered into and shall be construed in accordance with the laws of the State of Texas, and to be wholly performed in the state of Texas.  You consent and submit to the exclusive jurisdiction of the State of Texas and federal and state course having jurisdiction in Harris County in the state of Texas and by the laws of the United States, excluding their conflicts of laws principles.  The United Nations convention contracts for the International Sale of goods are hereby excluded in its entirety from the application to this Agreement.

Severability:  In the event any provision of this Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not in any way be affected or impaired.
