Generally, a PLLC is a business entity, defined in state law, in which each owner (or ''member'') enjoys Professional limited liability for the business' debts and other legal obligations, as do shareholders in a corporation. For federal income tax purposes, however, the PLLC is not a taxpaying entity. Rather, the PLLC is treated as a conduit, through which tax attributes, including the profit earned or the loss incurred in the PLLC's business operations, flow through to the members. For this fee you will receive your Articles of organization, Free Single Member Operating Agreement, Minutes, Membership Certificate, Ledger, Corporate Seal, State and Attorney Fees.
Appropriate use of a Professional Limited Liability Company “PLLC” is for Medical Professionals and Non Medical Professionals, with the later having a lesser filing fee.  
Texas and Federal Tax law authorize the formation and maintenance of a PLLC.  Although a Professional will be personally liable for their own malpractice, the PLLC will shield the Owner-Professional from the malpractice of the employees, partners and other Professional Members, and from countless other general business activities that can occur in a profession.  To benefit from the tax advantages as well as the limited liability of a PLLC, it is vital that contracts, activities, and other details be appropriately tended to so the PLLC will be treated as a separate entity.
Reimbursements. The appropriate use of a PLLC will limit personal liability of a professional for reimbursements that may be insisted from carriers.
Protection for receivables. Your advisors can easily consult you with the methods to protect your receivables. 
Employee liability.  Consult your malpractice carrier concerning your employment agreements.

Management Agreement

Every manager managed Texas PLLC should enter into a written Management Agreement between the Texas PLLC and its Manager(s). The Management Agreement should be completed in such a way so that it comports with your Operating Agreement thus it should:
*Prohibits the Manager(s) for competing against the Texas PLLC during and after their employment with the company
*Prohibits the Manager(s) from soliciting the Company’s Employees to work somewhere else
*Prohibits the Manager(s), from soliciting the Company’s clients
*Prevents the Manager(s) from disclosing the Company’s important information;
*Explains the terms of employment of the Company’s Manager(s)
The cost of the Management Agreement is just $120.00, if ordered at the time of forming your Texas PLLC

Occupational License

If you are out of state or country or just too busy we will be glad to help you acquire your occupational license to help you do business. The fee to do this is $195.00 plus any additional filing fees per county or city.

Medical Reimbursement Plan

DUNS Number and Central Contractor Registration

The benefits of having a DUNS number are that you may list the number in the Duns and Bradstreet database; after you are listed you may use the D&B as a credit reference; and you will be able to update your record anytime with D&B. We will acquire your DUNS number within 30 days for $135.00 you may start the above process Prospective vendors must be registered in CCR prior to the award of a contract: basic agreement, basic ordering agreement, or blanket purchase agreement, unless the award results from a solicitation issued on or before May 31, 1998. Prime contractors are not required to have their subcontractors register in CCR. If a prime subcontractor wants to bid directly for contracts with the DOD, they should register in the CCR, we can acquire the CCR registration within 2-3 weeks for $135.00 dollars.

1244 stock (TAX TIP)

Qualified Sub Chapter S Subsidiary PLLC

However, if QSSS status is desired for a subsidiary, the parent must wholly own the subsidiary. This service provides asset protection and tax saving possibilities that are almost infinite, depending on how many subsidiaries there are. However, if the Subsidiary qualification is desired, one Sub Chapter SPLLC must wholly own the other Sub Chapter S PLLC. The fee for this service is $95 per qualification.

Sub-Chapter S Election (TAX TIP)

The Texas LLC being taxed like a Sub Chapter S Election offers two principal advantages. First, profits and losses will flow though to the owners in a manner similar to a partnership, thus avoiding double taxation. Second, employee-owners may be able to reduce federal employment taxes by as much as 15.3 percent on the portion of their income on the first $95,000 per owner per year and 2.9% on all earnings after that. This allows you to increase your distributions and reduce your wages. If you want your business to have these major tax advantages it costs an additional $70.00 dollars. We will complete the Federal requirements and draft the Articles of Organization, Operating Agreement, Resolutions and Membership certificates to reflect the companies Tax status as an S-Election.

Unemployment Tax Account Number and new Hire Report

If you are going to be paying a wage state law requires you to have an unemployment tax ID to do your state withholdings and new hire report to report your new hires so to avoid penalties from the Department of revenue. The preparation fee for the Unemployment number paper work is $85.00 and there is a $30.00 fee to prepare 10 new hire reports.

Federal Tax ID Number

The Federal Tax ID Number is required to open a business account and to put your license into the company name. It is also necessary for those who need to get exempt from workers compensation insurance. The tax Id Number for your Texas LLC is $35.00 of charge at the time of incorporation and we will acquire the actual number for your convenience.

Security Agreement with a Loan Agreement (ASSET PROTECTION TIP)

Speed of service
