Are you tired of the runaround, you are quoted one fee for your Texas PLLC only to find out you have to pay a lot extra for your Operating Agreement. Our firm will provide the Single Member Operating Agreement in our Company Package.

Specifically, a Texas PLLC should always include Articles, Single Member Operating Agreement, Minutes, Membership Certificates, Ledger, anything less is NOT a complete package and will leave your owners and managers PERSONALLY LIABLE for law suits against the company due to lack of formalities. You will feel confident when organizing your Florida PLLC though our firm because our basic Texas PLLC package includes all the aforementioned formalities so the owners will be protected by the company in case of a law suit against it.

Generally, a PLLC is a business entity, defined in state law, in which each owner (or ''member'') enjoys Professional limited liability for the business' debts and other legal obligations, as do shareholders in a corporation. For federal income tax purposes, however, the PLLC is not a taxpaying entity. Rather, the PLLC is treated as a conduit, through which tax attributes, including the profit earned or the loss incurred in the PLLC's business operations, flow through to the members. Thus, the PLLC is a hybrid, it is like a corporation, for state law limited liability purposes, but like a partnership for federal income tax purposes (or, in the case of single member PLLCs, disregarded for federal income tax purposes).  Beyond this admittedly broad and general description, there are PLLC characteristics which vary from state to state.  With regards to Nonresidents of the United States, it is not wise to believe the PLLC is generally the best solution for your business needs, as there may be self employment taxes and estate taxes involved that could be far higher than any corporate income tax you can imagine.  Every situation is different and guidance from a competent attorney is key in making such important decisions.  Call today to incorporate your business and you will receive the necessary guidance for making the proper decisions for your business start up.

For this fee you will receive your Articles of organization, Free Single Member Operating Agreement, Minutes, Membership Certificate, Ledger, Corporate Seal, State and Attorney Fees.
Appropriate use of a Professional Limited Liability Company “PLLC” is for Medical Professionals and Non Medical Professionals, with the later having a lesser filing fee.
Texas and Federal Tax law authorize the formation and maintenance of a PLLC.  Although a Professional will be personally liable for their own malpractice, the PLLC will shield the Owner-Professional from the malpractice of the employees, partners and other Professional Members, and from countless other general business activities that can occur in a profession.  To benefit from the tax advantages as well as the limited liability of a PLLC, it is vital that contracts, activities, and other details be appropriately tended to so the PLLC will be treated as a separate entity.

Reimbursements. The appropriate use of a PLLC will limit personal liability of a professional for reimbursements that may be insisted from carriers.

Protection for receivables. Your advisors can easily consult you with the methods to protect your receivables.
Employee liability.  Consult your malpractice carrier concerning your employment agreements.
Notify your insurance carriers.  Your insurance carriers should be notified that your PLLC exists.  Additionally, your DBA/Fictitious name should be registered with Tallahassee and should be disclosed to your Insurance carriers.
Appropriate maintenance for a PLLC.  You must keep sound financial records, maintain minutes, updated employment agreements, lease agreements, loan agreements, and never forget to file your Annual Uniform Business Report with the state.  Such maintenance will help keep the state happy ant the IRS and creditors at bay.
